When the CEO Becomes Board Chair

More than 40% of outgoing S&P 500 CEOs assumed board chair roles within a year of stepping down, according to a 2023 study by Spencer Stuart. When executed well, this shift ensures strategic alignment, maintains investor confidence, and steadies the organization during a time of change. It provides continuity, institutional memory, and the benefit of a leader’s deep understanding of the business and industry. For the outgoing CEO, it creates an opportunity to focus on long-term vision, governance, and mentorship—roles that shape the company’s future while preserving its culture and values. But this move is also one of the most delicate transitions in corporate leadership. If leaders do not plan carefully, they create blurred power structures, boardroom tension, internal power struggles, employee confusion, and reputational damage. In our work as investors and business owners at PPC, we’ve helped manage this challenging transition well over 50 times, and we’ve talked to public and private company CEOs and board members about their experiences. We’ve repeatedly seen the following pitfalls: Role confusion: Without clear boundaries between the CEO and chair, employees default to the familiar ex-CEO, undermining the new leader. As Harry Kraemer, former CEO and chair of Baxter International, said: “The only real operational decision the chairman should make is, ‘Do we have the right CEO?’ The chairman leads the board and provides governance, the CEO drives strategy and operations.” Weak succession planning: Rushed handoffs create dysfunction. Bruce Johnson, former CEO and current chair of GHX, put it plainly: “A carefully constructed and communicated succession plan is the key. I over-indexed my efforts into making sure all stakeholders understood the plan and carefully nurtured the execution.” Confusion and erosion of trust: When a CEO moves into the chair role but continues to operate in the shadows, the organization is pulled in two directions. Mixed signals fracture alignment, directors often encounter divided loyalties, and employees are left uncertain about whose lead to follow. Trust quickly erodes when communication is inconsistent or unclear, fueling doubt and second-guessing. The psychological toll on the outgoing CEO: After decades of leadership, letting go of operational authority challenges their very identity. This is one of the most overlooked challenges in the succession process. Making the Transition Work This succession is not a single handoff moment—it is a carefully staged process that requires board oversight, often led by the chairperson of the Nominating and Governance Committee or by the lead independent director. The board is the entity with the authority, neutrality, and governance mandate to set and enforce boundaries between the chair and new CEO, ensure clarity of roles so authority is not blurred, monitor the cultural impact across the organization, and help navigate the path between supporting the new CEO’s agenda while still respecting the CEO-turned-chair’s contributions. Step 1: Draft a Clear Transition Charter Begin the process with a transition charter, jointly developed by the incoming CEO and the CEO-turned-chair, and formally approved by the board. The charter should include: A statement of purpose that explains why the transition is happening and what benefits it will bring. Clearly defined roles that specify chair responsibilities (strategic oversight, board leadership, CEO evaluation, succession planning, representing the board externally) and CEO responsibilities (strategy, execution, leadership, operations, stakeholder alignment). This section should also explicitly state what the chair will not do (e.g., daily operations, hiring, direct communications without CEO consent). We’ve even seen charters that forbid the outgoing CEO from keeping an office at headquarters, which tempts them back into daily matters and undermines the new CEO. Communication protocols that specify how often the chair and CEO meet, who is responsible for board briefings, and how to distinguish joint messaging from individual voices. To reinforce the change of leadership, the CEO—not the chair—should open board meetings with the CEO’s perspective. Conflict resolution steps to resolve disagreements, including identifying a neutral or lead independent director as arbiter. In our work, we’ve seen common conflicts arise around: Strategic direction: For example, the new chair advocates acquisitions while the CEO favors organic growth. External communications: For example, the chair’s message to investors or the press diverges from the CEO’s. Board agenda and information flow: We’ve seen conflicts over which topics reach the board and how much detail is shared. For example, the CEO may seek operational discretion while the chair pushes for greater oversight. Pace of change: The CEO might seek to drive rapid transformation while the chair urges caution, often based on prior strategies. Talent and succession decisions: For example, disagreement over senior appointments or restructuring, where the chair attempts to influence decisions that should rest with the CEO. Resource allocation: For example, tension over capital deployment priorities, such as whether to reinvest for growth, return capital, or preserve cash. Step 2: Create a Decision-Rights Matrix This will offer clarity around who owns which decisions, preventing both gaps and overlaps. Typical areas of responsibility include: CEO Responsibilities (Execution) Develop and execute strategy (to be approved by the board). Set organizational KPIs and drive results. Allocate capital within board-approved budgets. Engage customers, employees, regulators, and partners. Chair Responsibilities (Governance) Approve strategy set by the CEO. Recruit, onboard, and evaluate directors. Ensure effective board meetings and committees. Oversee CEO compensation with the compensation committee. Lead shareholder communication on governance. Assume primary responsibility during board-related crises (e.g., CEO misconduct, activist pressure). Shared Areas Oversee risk (CEO manages; chair ensures visibility). Manage external reputation (CEO as the company’s face; chair as the face of governance). Step 3: Develop a Formal Transition Plan Build a structured, time-bound transition plan that provides clarity and stability. Conduct a midpoint review to measure progress against goals, reaffirm boundaries, and adjust course where necessary. Suggested Timeline: Months 1–3: Formal handover, joint visibility Appear together at key forums. Have the outgoing CEO/new chair explicitly endorse the new CEO. Transfer signature responsibilities (e.g., signing authority, press representation). Months 3–6: Outgoing CEO steps back Reduce visibility of outgoing CEO/new chair. Let the new CEO lead all communications. Reinforce the message: one leader. Months 6–12: Incoming CEO takes the helm Establish the CEO as the singular face of leadership. Shift the chair into governance and succession oversight. Have the board conduct a review to surface and resolve friction points. Beyond 12 months: Consolidation Entrust the CEO with full operational and cultural leadership. Ensure the outgoing CEO models restraint. Limit the chair counsel to structured board interactions. Step 4: Align the Board Insist the board fully commit to the transition charter and timeline, with the lead independent director enforcing adherence. The board must: Speak with one voice in support of the CEO. Reinforce the framework through its committees. Conduct regular check-ins to ensure boundaries hold. Provide visible support to the CEO, both privately and publicly. Prepare a contingency plan to act swiftly if tensions escalate. Step 5: Support the CEO Publicly and Privately The chair must endorse the CEO in public forums and provide candid counsel in private, functioning as a compass, not a captain, guiding without seizing control. When asked a strategic question publicly, redirect it: “That’s one for [CEO’s name]—they’re leading the charge.” An Alternative Path: CEO as Senior Advisor Even with careful planning, CEO-to-chair transitions remain risky. Having seen many transitions falter, we recommend another option: appoint the outgoing CEO as a senior advisor instead of chair. This approach eliminates dual-leader ambiguity, empowers the incoming CEO, and allows the former leader to contribute meaningfully. Keeping the former CEO off the board often makes it easier for them to let go of their former role. Former Novartis CEO Joe Jimenez advises, “If the former CEO insists on staying involved, try to help them find meaningful work that’s NOT management. Can you help them figure out their next chapter or opportunity once they’ve transitioned out of day-to-day leadership?” A senior advisor role can allow the former CEO to channel their experience into high-value, non-operational work—mentoring leaders, driving business development, opening doors for sales, championing civic causes, or engaging in regulatory advocacy. Make sure the role is advisory, not operational, and time-bound (12–24 months). This path honors past contributions and creates a cleaner handoff. . . . The CEO-to-chair shift is an organizational transformation, not a ceremonial formality, and should be treated as such. With foresight, structure, and empathy, it’s possible to blend continuity with renewal and empower new leadership.
